Acceptance of Terms

Our Services

• OEM/ODM production of 925 sterling silver and copper jewelry;

• Design development support: concept & brief, CAD 3D rendering, mold making, sample making, and bulk production;

• Private label services: stamping (e.g., S925 marks), packaging, and documentation for production batches;

• Quality control documentation, such as batch-specific records for 925 silver purity.

Inquiries and Quotations

• Submitting an inquiry form or contacting us by email/WhatsApp does not create a binding contract. It initiates a quotation process.

• All quotations are valid for the period stated in the quotation document, or if not stated, 30 days from issue.

• Quoted prices, lead times and terms are based on the specifications you provide. Changes to design, material, quantity or requirements may require a revised quotation.

Orders, MOQ and Sampling

• Minimum order quantity (MOQ): 20+ pieces per design for 925 sterling silver; 100+ pieces per design for copper. Exceptions are at our sole discretion and will be confirmed in writing.

• Sampling: sample fees and shipping costs apply per design. Mold fees are charged separately; a mold fee may be refunded when bulk production reaches the agreed quantity, as stated in the quotation.

• An order becomes binding when we confirm it in writing and receive the agreed deposit or payment.

Pricing and Payment

• Prices are quoted in the currency stated in the quotation document.

• Payment terms (deposit, balance, and payment methods) are set out in the quotation or contract and agreed before production starts.

• Unless otherwise agreed, work begins after the required payment is received.

Production and Lead Times

• Lead times depend on design complexity, material, quantity and current capacity. As a general guide: copper orders are typically completed within 7 days; 925 silver orders typically 12–15 days for larger quantities.

• Lead times stated in quotations are estimates, not guarantees. We will notify you promptly of any delay caused by design changes, material availability, or force majeure.

Design and Intellectual Property

• You retain ownership of the designs, sketches, CAD files and specifications you provide to us.

• For custom products developed for you: the final production design is developed for your order. Mold ownership and reuse rights are as agreed in the quotation; if no agreement is made, molds remain our property and may be retained for your repeat orders.

• You are responsible for ensuring that your designs and materials do not infringe the intellectual property rights of any third party.

Quality Control

• We inspect products before shipment in accordance with our quality control process and provide batch documentation where requested (e.g., 925 silver purity records).

• If you receive products with manufacturing defects, notify us with photos within 7 days of receipt. We will review and, at our option, repair, replace, or credit the affected items.

• Minor variations in stone color, metal finish and weight within industry tolerances are normal for jewelry and do not constitute defects.

Shipping and Delivery

• Shipping costs, incoterms, and delivery method are agreed in the quotation.

• Risk in the goods passes to you in accordance with the agreed incoterms. Customs duties, taxes and import clearance in the destination country are your responsibility unless otherwise agreed.

Confidentiality

Limitation of Liability

• Our total liability arising from or relating to any order, whether in contract, tort or otherwise, shall not exceed the total amount paid by you for the specific order giving rise to the claim.

• We are not liable for indirect, incidental, consequential or special damages, including lost profits, lost revenue, or loss of business opportunity, even if advised of the possibility.

• Nothing in these Terms limits liability that cannot be limited under applicable law.

Force Majeure

Governing Law and Disputes

• These Terms are governed by the laws of the People's Republic of China, without regard to conflict of law principles.

• Any dispute arising from these Terms or our services shall first be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be submitted to the competent court of the place where AQUALUSH JEWELRY is registered for settlement.
